This file is associated with CA Parental Controls application. I installed CA's 2009 Internet Security Suite which includes the Parental Controls application and this message started popping up. I uninstalled the Parental Controls and the error went away.. I found this information on the web when I googled the mdmcls32.exe error.
   
If you have CA and msmcls32.exe won't let you connect to the internet, i recommend that you uninstall CA Parental Controls

is there suppose to be two instances of this file running? one instance little information for example command line or virtualization. information. my computer is sluggish i end the process that contains no data and the computer runs great again.

A free virus remover I am currently using has info revealing mdmcls32.exe as SUSPICIOUS and having a pathway of c:\windows\system32\svcprs32.exe, no product name, no company name, a legal copyright of 2008, a file version of 6.2.2046. I do not know if it is a "false positive" or if it' e-v-i-l.
