offspon.exe is a component of Microsoft Office Starter Edition. It is the component that pulls down the advertisements that are presented to users of the free ad-supported Starter edition. It is considered malware by some anti-viruses and firewalls because it acts like malware, not because they recognize it as malware.

Same conclusion as Geek Prophet. Open Word or Excel Starter, open task manager, kill the process, and look the ad reset. The process will start again when you alt-tab to word/excel.

preventing my laptop from shutdown
If you're using Microsoft Office Starter, this program will appear on your computer in order to run the ads that make it worthwhile for Microsoft to provide Excel and Word free. If you think it's suspicious because you tried to open its file location but couldn't, the only thing I can think of is to buy a regular version of Microsoft Office.
OffSpon.exe is preventing my computer from shutting down, it just appeared on my computer today.
