More than likely it's part of some sort of protection scheme from some shareware application who have installed.

If you've installed the game "Prey", then it's a legit copyright protection file. If not, you may have a trojan, as there is a file with the same name as part of a trojan package-can't remember the name of it offhand...bitrose or something like that-but I've run across it a couple times in my travels as a tech support agent.
