It's the Nero scout program that indexes files for the rest of the programs in the nero family. To get rid of it simply turn off (Disable) Nero scout. You can do this by starting the nero scout program on the start meny and in the program choosing disable.

I think it's used by Nero Scout and yes it eats too much memory for background service. You can reduce the memory it eats by disable or deinstall Nero Scout. In the lib folder of ahead open the NeroScoutOptions.exe and disable it or look here

Part of Nero Scout, a component of Nero 7. To disable it, go into My Computer, Right click on "Nero Scout" (listed under "Other" if you sort the icons into groups), select "Options" and uncheck the Enable box in the top left corner. Nero Scout is not a very handy utility, I see no point in using it, especially since it hogs so much memory and, particularly, CPU.
