I just did an FDISK then a fresh instal of Windows XP home edition, installed AVG antivirus then ADSL broadband then Spybot S/D! On my clean instal Spybot immediately quarantined that pest the moment Spybot finished loading on my clean system. the only possible source is WinXP or the ADSL modem software. i never went online except to update AVG and Spybot.

It never showed up in Task Manager before so I figure it's not essential. Couldn't delete it so I renamed it temporarily, then rebooted and deleted it.
