it is irresponisble to say that a system file with a .sys extension is probably malware if its in the system 32 folder as most .sys files are residing in the system folder

NDProxy should be a system process, however some DNS changers can add their own NDIS proxy devices redirecting to rogue DNS servers. If you don't trust your Windows system perform an "sfc /scannow" on the command prompt and allow it to restore modified system files.
